LEASEPLAN EMIRATES FLEET MANAGEMENT Hereinafter referred to as "LeasePlan.”

LeasePlan is a leasing and fleet management provider for commercial vehicle fleets. After termination of the leasing contracts, LeasePlan sell these vehicles amongst others by auctions. The Buyer is a commercial used car dealer. The contractual terms governing the respective vehicle purchase contracts, as agreed by LeasePlan and the Buyer, are laid down in the present Master Agreement and the LeasePlan Price List Attachment 1 as well as Terms and Conditions for the Delivery of Remarketed Vehicles Attachment 2, which are an effective supplement to this Master Agreement. Given that, the parties agree on the following:
ليس بلان هي مزود إدارة وتأجير أساطيل السيارات التجارية. وبعد إنهاء عقود الإيجار تبيع ليس بلان هذه السيارات من بين أشياء اخرى بالمزاد. والمشتري هو موزع سيارات تجارية مستعملة. ينص العقد الرئيسي الحالي على الشروط التعاقدية التي تخضع لها عقود شراء السيارات ذات الصلة كما هو متفق عليه بين ليس بلان والمشتري وقائمة أسعار ليس بلان في مرفق 1 وكذلك شروط وأحكام تسليم السيارات التي يتم إعادة تسويقها في مرفق 2 والتي تشكل مكملا ساريا لهذا العقد الرئيسي، وبناءً على ذلك، اتفق الطرفان على ما يلي:
1. Prerequisites
1- الشروط المسبقة
The Master Agreement is being concluded, based on the understanding, that the Buyer is a commercial trader of used cars and will purchase an annual volume of approx. 50 vehicles from LeasePlan in the long term. For this purpose, it is considered necessary for the Buyer to participate in at least 33% of the auctions. If these desired dimensions and volumes are not met, the parties should review whether or not to continue the cooperation.
يتم تحرير العقد الرئيسي طبقاً للتفاهم بأن المشتري هو تاجر سيارات مستعملة وسوف يشتري كمية سنوية قدرها 50 سيارة تقريباً من ليس بلان على المدى البعيد ولهذا الغرض يعتبر من الضروري أن يشارك المشتري في 33% على الأقل من المزادات وإذا لم يتم استيفاء الأبعاد والأحجام المرغوبة فإن الطرفان يجب أن يراجعا ما إذا كانا سيستمرا في التعاون أم لا.
LeasePlan reserves the right to grant different access authorisations for auctions. The access authorisations may depend on the purchase volume or the participation of the Buyer as a bidder. The access authorisations may also be restricted to special auctions in which only vehicles according to limited selection criteria are being offered.
تحتفظ ليس بلان بحق منح تراخيص دخول مختلفة في المزادات. ويمكن أن تعتمد تراخيص الدخول على حجم الشراء أو مشاركة المشتري كصاحب عطاء كما أن تصاريح الدخول يمكن أيضاً أن تقتصر على مزادات بعينها يتم فيها عرض السيارات فقط طبقاً لمعايير اختيار محدودة.
2. Extranet access
2- الاتصال بالشبكة الخارجية
LeasePlan will provide the Buyer with a password granting access to an authorised environment (Extranet) on the Internet. The Buyer is obligated to treat this password confidentially, use it for the Buyer's own purposes exclusively and not make it available to any third party. In case of losing the password, the Buyer is obligated to inform LeasePlan without further delay. LeasePlan is obligated to deactivate the password, i.e. the Extranet access, within one hour during common business hours.
سوف توفر ليس بلان للمشتري كلمة السر التي تُتيح الوصول إلي بيئة مصرح بها (الشبكة الخارجية) على الإنترنت. ويلزم المشتري بمعاملة كلمة السر هذه بسرية واستخدامها لأغراض المشتري حصرياً وعدم توفيرها لأي طرف ثالث. وفي حالة فقد كلمة السر يلزم المشتري بتبليغ ليس بلان أولاً بأول وتلزم ليس بلان بتعطيل كلمة السر أي الدخول إلي الشبكة الخارجية خلال ساعة واحدة أثناء ساعات العمل الرسمية.
Until this notification the Buyer is liable for any abuse of his password. The Buyer is aware of the fact that the password can be used to transact legally binding transactions in his name. Any risks related to the abusive use of the password are to be borne by the Buyer.
حتى هذا الإشعار يكون المشتري مسؤولًا عن أي إساءة استخدام لكلمة السر ويعلم المشتري حقيقة أنه يمكن استخدام كلمة السر للتعامل في أي معاملات ملزمة قانوناً باسمه. ويتحمل المشتري أي مخاطر تتعلق بسوء استخدام كلمة السر.
3. Vehicles on offer
3- السيارات المعروضة
LeasePlan operates auctions with defined auction times. In these auctions LeasePlan offers used cars in a non-binding offer with the best possible description, including manufacturer, model, body, colour, options, current mileage (km), VIN, type of transmission and location of the vehicle / logistics centre.
تدير شركة ليس بلان المزادات بمواعيد مزادات محددة وفي هذه المزادات تعرض ليس بلان السيارات المستعملة في عرض غير ملزم بأفضل وصف ممكن بما في ذلك التصنيع والموديل والهيكل واللون والكماليات وعدد الكيلومترات الحالي ورقم القاعدة ونوع ناقل الحركة وموقع السيارة/ مركز اللوجستيات
The condition of the vehicle is assessed prior the auction by DealersOnline ().

The unabridged Dealers Online appraisal report is available on the Internet, including photos showing damages mentioned in the DealersOnline appraisal report. Not explicitly shown is minor technical damage up to an amount of approx. AED 500, especially for cars with a mileage of more than 100,000 km. The Internet link leading to the DealersOnline appraisal report is part of the description of the vehicle and will be available for a period of 6 months.
يتوافر تقرير تقييم ديلارس أون لاين بدون حذف ، على الإنترنت بما في ذلك الصور التي تبين الأضرار المذكورة في تقرير تقييم. وما لم يوضح هو التلف الفني الضئيل حتى مبلغ 500 درهم تقريباً خاصة بالنسبة للسيارات التي يزيد عداد الكيلومترات فيها عن 100,000 كيلو متر. ورابط الانترنت اللذي يؤدي إلي تقرير تقييم ديلارس أون لاين هو جزء من وصف السيارة ، وسيكون متاح لمدة ستة أشهر.
The provided information regarding previous damages and mileage is taken over from the lessee in LeasePlan's knowledge and belief and is not to be construed as being assured or guaranteed. Depending on the previous insurance agency, it may not be possible to ascertain binding information. Defect-related claims are governed by Terms and Conditions for the Delivery of Remarketed Vehicles – Attachment 2 of LeasePlan.
تؤخذ المعلومات المقدمة بشأن التلف السابق وعدد الكيلومترات من المستأجر بمعرفة ليس بلان ولا تفسر بأنها مؤكدة أو مضمونة. وحسب وكالة التأمين السابقة قد لا يكون من الممكن التأكد من المعلومات الملزمة كما أن المطالبات المرتبطة بالعيوب تخضع لشروط وأحكام تسليم السيارات التي يعاد تسويقها – مرفق 2 من ليس بلان.
LeasePlan starts auctions daily from Monday to Friday with different volume of cars, starting in the afternoon and ending the following working day. The exact time schedule will be announced in the internet auctions. The Buyer is allowed to see all offered vehicles and can place bids manually on any offer desired. All bids must be in a round sum in AED 500 increments. The new bid must be at least AED 500 net higher than the current highest bid for a vehicle. Bids submitted by the Buyer are binding.
تبدأ ليس بلان المزادات يومياً من الإثنين إلي الجمعة بحجم سيارات مختلف تبدأ من بعد الظهيرة وتنتهي في يوم العمل التالي. وسوف يتم إعلان الموعد الزمني المحدد في مزادات الإنترنت ويسمح للمشتري بمعاينة جميع السيارات المعروضة ويمكنه أن يضع العطاءات يدوياً على أي عرض مرغوب. يجب أن تكون جميع العطاءات بمبلغ تقريبي بزيادات 500 درهم إماراتي ويجب أن يكون العطاء الجديد أعلى على الأقل بـ 500 درهم صافي من أعلى عطاء حالي للسيارة. والعطاءات التي يسلمها المشتري تكون ملزمة.
The current highest bids for each vehicle are displayed to the bidders, after using the refresh button. At this time, the Buyer can increase his bid during the announced bidding period. As an option, the Buyer can activate a bidding agent for each vehicle. For this purpose, the Buyer places his maximum bid for the respective vehicle into its bidding agent. The bidding agent automatically submits bids, which are AED 500 net higher than the current highest bid, but only up to his defined maximum
يتم عرض أعلى العطاءات الحالية لكل سيارة على اصحاب العطاءات بعد استخدام مفتاح التحديث. وفي هذه المرة يمكن للمشتري زيادة عطاءه خلال فترة العطاء المعلنة. وكأحد الاختيارات يمكن للمشتري تفعيل وكيل العطاءات لكل سيارة ولهذا الغرض يضع المشتري الحد الأقصى للعطاء للسيارة ذات الصلة إلي وكيل العطاءات. ويقوم وكيل العطاءات تلقائياً بتسليم العطاءات والتي تكون أعلى بمقدار 500 درهم صافي عن أعلى العطاءات ولكن فقط حسب الحد الأقصى المحدد له.
After each bid the current highest bid will be shown to the bidder. If the manual given bid is not shown as the highest bid, in response to immediate overbidding, is due to a bidding agent from another bidder in the auction. The bidder can see his cars with the current highest bids in the column "my highest bids", other bids in the column "my other bids" and cars without bids in "remaining cars". The bidder can see the current status of the auction with pushing "refresh".
بعد كل عطاء سيظهر أعلى العطاءات الحالي لصاحب العطاء وإذا لم يظهر العطاء المقدم يدوياً كأعلى عطاء استجابة للعطاءات الزائدة المباشرة فإن هذا يرجع إلي وكيل عطاءات من صاحب عطاء أخر في المزاد. ويمكن أن يرى صاحب العطاء سياراته بأعلى العطاءات الحالية في عمود "أعلى عطاءاتي" والعطاءات الأخرى في عمود "عطاءاتي الأخرى" والسيارات بدون عطاءات في "السيارات المتبقية" . ويمكن لصاحب العطاء أن يرى الوضع الحالي للعطاء بدفع المفتاح "تجديد"
If equal bids will be given by bidding agents the latest given bid will be seen as the highest bid. Bids can only be placed during the announced auction period. In order to prevent system overload at the end of the auction, it will remain open for another 2 minute after the last bid. This 2-minute period allows counter bidding and can extend the bidding period beyond the announced end of the auction .LeasePlan is not obligated to accept any bid.
في حال تقديم عطاءات متساوية من جانب الوكلاء، يظهر أحدث عطاء مقدم بأنه أعلى عطاء ولا يمكن وضع العطاءات إلا خلال فترة العطاءات المعلنة. ومن أجل منع زيادة أحمال النظام في نهاية المزاد فإنه سوف يظل مفتوحاً لمدة دقيقتين بعد أخر عطاء. وتسمح فترة الدقيقتين هذه بالعطاء المتقابل ويمكن أن تمد مدة العطاء إلي ما بعد نهاية المزاد المعلنة ولا تلزم ليس بلان بقبول أي عطاء.
LeasePlan is obligated to display the highest bids in a truthful and unmodified way and to not make this information available to any third party for the duration of the ongoing auction. Any submission of bids by means other than an Extranet entry, for any reason whatsoever, e.g. by telephone or fax, or after the end of the auction, is explicitly excluded. If bids cannot be submitted due to technical malfunctioning, the last bid registered by the system is valid for the respective auction. There is no possibility of demanding legal titles against LeasePlan, even if they were caused by malfunctions in the LeasePlan system.
تلزم ليس بلان بعرض أعلى عطاءات بالطريقة الموثوقة وغير المعدلة وأيضاً بعدم توفير هذه المعلومات لأي طرف ثالث خلال مدة المزاد الحالي. وأي تسليم للعطاءات بوسائل خلاف القيد في الشبكة الخارجية لأي أسباب بوسائل مثل الهاتف أو الفاكس أو بعد نهاية المزاد يكون مستبعد صراحة. وإذا لم يمكن تسليم العطاءات بسبب الأعطال الفنية فإن أخر عطاء مسجل من خلال النظام يكون ساري للمزاد ذو الصلة. ولا يكون هناك أي إمكانية للمطالبة بالحقوق القانونية ضد ليس بلان حتى إذا كان سببها أعطال في نظام ليس بلان
LeasePlan explicitly assures not to have any insight into the bidding agent, or to create a possibility to have access to bids or bidding agents.
تضمن ليس بلان صراحة عدم وجود أي ضغط على وكيل العطاءات أو إتاحة احتمال للإطلاع على العطاءات أو الوصول إلي وكلاء العطاءات.
All bids are being placed as net values, excluding VAT if any). After the end of the auction all highest bids will be displayed, enabling a bidder to determine, whether a highest bid was accepted or not. The purchase contract with the respective highest bidder becomes effective upon the publication of the highest bid on the Extranet. For the case of the highest bid failing to reach the expected minimum price, LeasePlan reserves the right not to release the vehicle for sale and purchase. Vehicles not sold in an auction can be offered in a following auction.
يتم وضع جميع العطاءات بالقيمة الصافية غير شاملة ضريبة القيمة المضافة إن وجد. وبعد نهاية المزاد سيتم عرض كل العطاءات الأعلى بما يمكن صاحب العطاء من تحديد ما إذا كان قد تم قبول أعلى العطاءات أم لا. وعقد الشراء مع صاحب العطاء الأعلى ذو الصلة يصبح سارياً عند نشر العطاء الأعلى على الشبكة الخارجية. وبالنسبة لقضية العطاء الأعلى الذي لا يصل إلي الحد الأدنى المتوقع للسعر تحتفظ ليس بلان بالحق في عدم الإفراج عن السيارة للبيع والشراء. ويمكن أن تعرض السيارات التي لا تباع في مزاد في المزاد التالي.
Failure to pay the balance of the bid owed will result in the Buyer losing its bid deposit. The deposit will be kept by LeasePlan to cover administration expenses and to compensate LeasePlan for the loss of other potential bidders.
عدم دفع رصيد العطاء المستحق سيترتب عليه فقد المشتري لوديعة العطاء وسيتم حفظ العطاء من خلال ليس بلان لتغطية المصروفات الإدارية وتعويض ليس بلان عن خسارة وفقد أصحاب العطاءات المحتملة الأخرين.
5. Vehicle invoice
5- فاتورة السيارة
LeasePlan will prepare an invoice for the highest bidder of a respective vehicle without delay. The vehicle invoice is due for payment without either deductions or delay.
تعد ليس بلان فاتورة لأعلى صاحب عطاء للسيارة ذات الصلة أولاً بأول ويستحق دفع فاتورة السيارة دون خصومات أو تأخير.
6. Location and acceptance
6- الموقع والقبول
Unless stipulated otherwise, the locations of the vehicles are the premises of the LeasePlan logistics partners. The Buyer is obligated to pick-up vehicles he procured from this location within 2 calendar days after the conclusion of the purchase contract. If purchased vehicles are not being picked up within this timeframe, the LeasePlan logistics partner is entitled to charge stall money, LeasePlan Price List – Attachment 1 to the Buyer.
ما لم يشترط خلاف ذلك فإن مواقع السيارات هي أماكن شركاء ليس بلان اللوجستيين. ويلزم المشتري باستلام السيارة التي اشتراها من الموقع خلال يومين ميلاديين من تحرير عقد الشراء. وإذا لم يتم استلام السيارات المشتراة خلال هذا الإطار الزمني فإنه يحق لشريك لوجستيات ليس بلان احتساب الأموال المجمدة وقائمة أسعار ليس بلان – مرفق 1 على المشتري.
7. Collection of vehicles
7- استلام السيارات
The collection of vehicles is possible after reception of the pick-up warrant, but it needs to be announced to the logistics partner at least 24 hours in advance. Upon the conclusion of the purchase contract the asset risk and price risk is being transferred to the Buyer. This includes, in particular, insurance premiums, motor vehicle tax, stall money, etc.
يكون استلام السيارات ممكناً بعد استلام الضمان ولكن يلزم إعلانه إلي شريك اللوجستيات قبل 24 ساعة على الأقل. وعند إبرام عقد الشراء يتم نقل مسئولية الأصول ومسئولية الأسعار إلي المشتري وهذا يشمل ضريبة السيارات والأموال المجمدة وما إلى ذلك.
8. Confirmation of acceptance
8- تأكيد القبول
At the time the vehicle is accepted, the Buyer confirms through signature of a duly authorised individual, that the condition of the vehicle is in conformance with the assessment protocol. A duly authorised individual in this context is any individual authorised in writing by the Buyer to pick-up the vehicle. Damages beyond the scope specified in the assessment protocol that were not mentioned on the protocol on site cannot be used as reasons for reducing the purchase price.
في وقت قبول السيارة يؤكد المشتري من خلال توقيع الفرد المفوض أصولاً أن حالة السيارة تطابق نظام التقييم كما أن الفرد المفوض أصولاً في هذا السياق هو أي فرد مفوض كتابة من المشتري باستلام السيارة. والتلفيات التي تخرج عن النطاق المحدد في بروتوكول التقييم والتي لم تذكر في البروتوكول في الموقع لا يمكن أن تستخدم كأسباب لخفض سعر الشراء.
9. Resale of the vehicles
9- إعادة بيع السيارات
The Buyer agrees to truthfully disclose all vehicle data, in particular information concerning the mileage and accident damage, to any third party in case of a resale of the vehicle. It is not allowed to offer cars in the Internet, prior to the legally binding purchase of the particular vehicle. With regard to the purchase of vehicles bearing labelling the Buyer is obligated to remove the labelling at own cost prior to offering the vehicle to any third party. This particularly applies to the publication of images of the vehicle on the Internet.
يوافق المشتري على الإفصاح بأمانة عن كل بيانات السيارة خاصة البيانات التي تتعلق بعدد الكيلومترات والتلفيات الناتجة عن الحوادث إلي الغير في حالة إعادة بيع السيارة ولا يسمح بعرض السيارات على الإنترنت قبل الشراء الملزم قانوناً للسيارة المحددة وبالنسبة لشراء السيارات التي تحمل بطاقات بيانات أو تمييز فإن المشتري يلزم بإزالة أي تمييز أو ملصقات على نفقته الخاصة قبل عرض السيارة على الغير وهذا ينطبق بشكل خاص على نشر صور السيارة على الإنترنت.
10. Handling fee / Entry Fee
10- رسوم المناولة/ رسوم الدخول
The Buyer has to pay a handling fee for each vehicle procured from LeasePlan, according to LeasePlan Price List – Attachment 1. These sums will be settled as part of the vehicle invoice and are due for payment without deductions and delay.
يجب على المشتري أن يدفع رسوم المناولة لكل سيارة يتم شرائها من ليس بلان طبقاً لقائمة أسعار ليس بلان – المرفق 1 وسوف يتم تسوية هذه المبالغ كجزء من فاتورة السيارة وتكون مستحقة الدفع دون أي خصومات أو تأخير.
Before activating the Login LeasePlan will charge a one-time entry fee according to LeasePlan Price List – Attachment 1. This entry fee will be repaid to the Buyer up on his request to discontinue of participating in auction.
قبل تنشيط تسجيل الدخول سوف تحتسب ليس بلان رسم دخول لمرة واحدة طبقاً لقائمة أسعار ليس بلان – مرفق 1 – وهذا القيد سيتم سداده إلي المشتري بناء على طلبه من أجل التوقف عن المشاركة في المزاد.
11. Term of the contract / Termination
11- مدة العقد/ الإنهاء
This Master Agreement takes effect upon mutual subscription and remains effective indefinitely. Either party is entitled to terminate the Master Agreement in adherence to a time limit of three months.
يسري هذا العقد الرئيسي بناء على الاشتراك المتبادل ويظل سارياً لأجل غير مسمى. ويحق لكل طرف إنهاء العقد الرئيسي التزاماً بحد زمني ثلاث شهور.
All subscribers reserve the right for an extraordinary termination of the Master Agreement, due to important reasons. In this context, important reasons occur, if the Buyer violates any of the stipulations of this Master Agreement, in particular clause 10 or the Buyer suffers from economic decline. The termination must be in writing in order to be effective. The termination can be submitted by facsimile transmission.
يحتفظ جميع المشتركين بالحق في الإنهاء غير العادي للعقد الرئيسي لأسباب المهمة وفي هذا السياق تحدث الأسباب المهمة إذا خالف المشتري أي من اشتراطات هذا العقد الرئيسي خاصة البند 10 أو تعرض المشتري لركود اقتصادي. ويجب أن يتم الإنهاء كتابة حتى يكون سارياً كما يمكن تسليم الإنهاء برسالة الفاكس.
12. Ethics Rule / Confidentiality / Data Privacy / General Terms
12- القاعدة الأخلاقية/ السرية/ خصوصية البيانات/ الشروط العامة
The Buyer commits himself to not offering or granting money, gifts, rewards, or advantages of any kind to employees of any LeasePlan company.
يلتزم المشتري بعدم عرض أو منح أي أموال أو هبات أو مكافآت أو مزايا من أي نوع إلي موظفي أي شركة من شركات ليس بلان.
With regard to achieved knowledge and information about the business activities of the contractual partner, due to the initiation and handling of this Master Agreement, both parties agree on maintaining absolute silence. All knowledge achieved due to this business relation is strictly confidential and is only to be used for the accomplishment of this Master Agreement, as long as there is no legal or governmental obligation for disclosure.
فيما يتعلق بالمعرفة والمعلومات المحققة حول أنشطة أعمال الشريك المتعاقد وبسبب المبادرة بالعقد الرئيسي وتنفيذه يوافق كلا الطرفين على التزام الصمت المطلق. وكل المعارف التي تتحقق بسبب علاقة العمل هذه تكون سرية تماماً ولا تستخدم إلا لإنجاز هذا العقد الرئيسي طالما أنه ليس هناك التزام قانوني أو حكومي بالإفصاح.
It is strictly forbidden to use or process this data for other purposes than the purposes of this Master Agreement.
يحظر تماماً استخدام أو معالجة هذه البيانات إلا لأغراض هذا العقد الرئيسي.
Both parties will make sure, that employees, representatives or other persons with access to this information are subject to the same confidentiality commitment as well. This commitment will remain indefinitely after termination of this Master Agreement.
يتحقق كلا الطرفين من أن الموظفين أو الممثلين أو الأشخاص الأخرين الذين لهم حق الإطلاع على هذه المعلومات يخضعون لنفس التزام السرية وهذا الالتزام سيظل لأجل غير مسمى بعد إنهاء هذا العقد الرئيسي.
This Master Agreement is governed by and constructed in accordance with the laws of UAE, with the courts at Abu Dhabi having exclusive jurisdiction.
يخضع هذا العقد الرئيسي ويفسر طبقاً للقوانين الإماراتية ويكون لمحاكم أبو ظبي الاختصاص الحصري
If one or several of the provisions of this Master Agreement or any other agreement between the parties were to be or become ineffective, this does not affect the validity of the remaining provisions or agreements.
إذا أصبح أي حكم من أحكام العقد الرئيسي أو أي عقد أخر بين الأطراف غير سارياً فإن هذا لا يؤثر على صحة بقية الأحكام أو الاتفاقيات.
No verbal ancillary conditions have been made. Changes or amendments must be made in writing to be effective. The latter requirement can be waived only in writing.
لم تذكر أي شروط أخرى مساعدة شفهية ويجب أن تتم التغييرات أو التعديلات كتابة حتى تكون سارية ويمكن إسقاط المطلب الأخير كتابة فقط.

1. Handling Fee / Entry Fee
1- رسوم المناولة/ رسوم القيد
For every car bought in an auction LeasePlan charges a Handling Fee AED 1700 (excluding vat) net in addition to the sales price.
بالنسبة لكل سيارة تشترى في مزاد تحتسب ليس بلان رسوم مناولة 1700 درهم من دون الضريبة صافية بالإضافة إلي سعر البيع
The Buyer has to de-register/ ownership transfer these vehicles within 2 working days on his own costs.
يجب أن يقوم المشتري بإلغاء التسجيل/ نقل ملكية هذه السيارات خلال يومي عمل على نفقته الخاصة.
2. Stall Money:
2- الأموال المجمدة
In case the vehicle, bought in an auction, will not be picked up within 2 working days, LeasePlan will charge AED 10.00 net for each vehicle for each day.
في حالة السيارة التي يتم شرائها في مزاد ولا يتم استلامها خلال يومي عمل، تحتسب ليس بلان 10 دراهم صافية على كل سيارة يومياً
LeasePlan is free to increase the prices to be effective upon commencement of the subsequent quarter. The increase has to be announced in writing at least 14 days before the increase becomes effective.
يكون لليس بلان حرية زيادة الأسعار التي تكون سارية عند بدء الربع اللاحق ويجب أن تعلن الزيادة كتابة قبل 14 يوماً على الأقل من سريان الزيادة.

1. Prices and terms of payment
1- الأسعار وشروط السداد
1-1 The purchase price stated is a net sum payable without deductions, within five working days. The purchase price applies to the vehicle at the location. Any transport costs as well as any other expenses and expenditures shall be incurred by the Buyer.
1-1 سعر الشراء المحدد هو صافي السعر واجب الدفع دون خصومات خلال خمس أيام عمل وينطبق سعر الشراء على السيارة في الموقع. وأي تكاليف نقل وكذلك أي مصروفات ونقاقات أخرى يجب أن يتحملها المشتري.
1-2 Cheques shall be accepted on account of performance only and subject to proper cashing.
1-2 يجب قبول الشيك على حساب الأداء فقط مع مراعاة الصرف المناسب.
2. Delivery and date of delivery
2- التسليم وتاريخ التسليم
2-1 The Buyer purchases the described vehicle in accordance with the following provisions and the attached conditions of delivery for used vehicles which he/she has read and agreed with.
2-1 يشتري المشتري السيارة المبينة طبقاً للأحكام التالية وشروط التسليم المرفقة بالنسبة للسيارات المستعملة والتي قرأها ووافق عليها.
2-2 The Buyer takes over the used vehicle as seen or as described and in recognition of the exclusion of warranty described in the conditions of delivery, in particular with regard to visible and/or hidden defects and the actual mileage.
2-2 يستلم المشتري السيارة المستعملة كما يراها أو كما توصف واعترافاً باستثناء الضمان المبين في شروط التسليم خاصة فيما يتعلق بالعيوب الظاهرة و/ أو الخفية وعدد الكيلومترات الفعلي.
2-3 The Buyer confirms by signature that he/she has properly accepted the vehicle, which otherwise precisely conforms to the description named above.
2-3 يؤكد المشتري بتوقيعه أنه قبل السيارة كما ينبغي وأنها تطابق بشكل أو بأخر الوصف المذكور أعلاه مطابقة دقيقة.
2-4 The purchase price – plus value-added tax at the applicable rate if any – is due for payment on the date that the vehicle is handed over. The seller will issue the vehicle registration papers immediately after receipt of payment. The Buyer is obliged to re-register the vehicle in the new name within three working days from receipt of the vehicle registration papers.
2-4 سعر الشراء وضريبة القيمة المضافة بالسعر المناسب به إن وجد يكون مستحق الدفع في تاريخ تسليم تلك السيارة وسوف يصدر البائع أوراق تسجيل السيارة على الفور بعد استلام الدفعة ويلزم المشتري بإعادة تسجيل السيارة باسم جديد خلال ثلاث أيام عمل من تسلم أوراق تسجيل السيارة.
2-5 The vehicle registration papers are sent out after payment has been credited to our bank account.
2-5 ترسل أوراق تسجيل السيارة بعد إضافة الدفعة إلي الحساب البنكي.
3. Reservation of title
3- حجز الملكية
3-1 The sold vehicle remains the property of the seller until it is fully paid for by the Buyer or a cheque for payment is cashed for good.
3-1 تظل السيارة المباعة ملكًا للبائع إلي أن يدفع المشتري ثمنها كاملاً أو يتم صرف شيك الدفع.
3-2 The Buyer agrees to handle the vehicle with special care for as long as it remains the property of the seller and obtain sufficient insurance coverage for any insurable damage. The Buyer at this time assigns any and all claims against the insurance agency to the seller on account of performance.
3-2 يوافق المشتري على التعامل مع السيارة بعناية خاصة طالما أنها تبقى ملكية البائع والحصول على التغطية التأمينية الكافية لأي أضرار قابلة للتأمين. ويتنازل المشتري في هذا الوقت عن أي وكافة المطالبات ضد شركة التأمين إلي البائع على حساب الأداء.
3-3 The Buyer is entitled to re-sell the vehicle in the ordinary course of business against cash payment or subject to reservation of title; however, the Buyer is not entitled to any other kind of disposition including assignment as security or pledging. In addition, the Buyer is not entitled to transport the vehicle to a foreign country.
3-3 يحق للمشتري إعادة بيع السيارة أثناء سير العمل العادي مقابل دفعة نقدية أو مع الخضوع لحفظ الملكية ورغم ذلك لا يحق للمشتري أي نوع أخر من التصرف بما في ذلك التنازل كتأمين أو الرهن وبالإضافة إلي ذلك لا يحق للمشتري نقل السيارة إلي دولة أجنبية
3-4 The Buyer assigns to the seller at this time his accounts receivable from the re-sale of the vehicle - including any accounts receivable from bills of exchange or cheques - on account of performance and including all ancillary rights. Until revocation, which shall be possible at any time, the Buyer shall remain entitled to collect the account receivable thus assigned, but shall be obliged to use the funds thus recovered to satisfy the claims of the seller without delay. The Buyer agrees to provide to the seller, upon request, without delay the name and address of his customer and to allow the seller the inspection of all related business documents.
3-4 يتنازل المشتري إلي البائع في هذا الوقت عن حساباته المقبوضة من إعادة بيع السيارة بما في ذلك أي حسابات واردة من الكمبيالات أو الشيكات على حساب التنفيذ وبما في ذلك الحقوق المساعدة. وحتى الإلغاء والذي يجب أن يكون ممكن في أي وقت يظل للمشتري حق تحصيل الحساب المقبوض الذي تم التنازل عنه ولكن يجب أن يلزم باستخدام الأموال التي تم استردادها من أجل استيفاء مطالبات البائع أولاً بأول. ويوافق المشتري على أن يوفر للبائع عند الطلب ودون تأخير اسم و عنوان هذا العميل وأن يسمح للبائع بالإطلاع على جميع المستندات ذات الصلة بالأعمال.
3-5 For as long as the reservation of title is effective and the Buyer is the owner of the vehicle, the seller can, for security, request at any time the surrender of the vehicle without this act being considered to be a rescission from the purchase contract. The Buyer permits the seller at this time to enter any of the Buyer's premises, at which the vehicle stands or is suspected to stand by the seller, for the purpose of taking possession.
3-5 طالما أن حفظ الملكية يظل سارياً ويكون المشتري هو مالك السيارة فإنه يمكن للبائع من أجل التأمين المطالبة في أي وقت بتسليم السيارة دون اعتبار أن هذا التصرف فسخ لعقد الشراء. ويسمح للمشتري للبائع في هذا الوقت بدخول أي من مقرات المشتري التي تبقى فيها السيارة أو يشتبه في بقائها هناك من جانب البائع لغرض حيازتها.
3-6 If any third party seizes the vehicle, in particular if third parties garnish the vehicle, the Buyer shall notify the seller of this act in writing without delay. The costs of third-party claim proceedings or other defence action shall be borne by the Buyer in as far as they are not borne by the third party.
3-6 إذا قام أي طرف ثالث بالاستيلاء على السيارة خاصة إذا قام الطرف الثالث بمصادرة السيارة يبلغ المشتري البائع بهذا التصرف كتابة أولاً بأول ودون تأخير. ويتحمل المشتري تكاليف وقائع دعوى الغير أو إجراءات الدفاع بقدر عدم تحمل الطرف الثالث لها.
4. Acceptance and transport
4- القبول والنقل
4-1 The Buyer is obliged to take-over the vehicle within two days of a pertinent request by the seller. If the Buyer fails to meet this obligation, the seller shall be entitled to grant a grace period of two days and to rescind from the contract after the grace period expires without performance or claim damages for non-performance.
4-1 يلزم المشتري باستلام السيارة خلال يومين من طلب البائع وإذا أخفق المشتري في الوفاء بهذا الالتزام يحق للبائع منح فترة سماح مدتها يومين وفسخ العقد بعد انتهاء فترة السماح دون أداء أو المطالبة بتعويضات عن عدم الأداء.
4-2 Any transport of the vehicle to a different place of take-over specified by the Buyer shall always be at the Buyer's risk, even if the transport is effected by employees of the seller. Insurance coverage for the transport shall be procured by the seller only if this is expressed requested and paid for by the Buyer.
4-2 أي نقل للسيارة إلي مكان استلام مختلف عن المكان الذي حدده المشتري يجب أن يكون على مسئولية المشتري دائماً حتى إذا تم النقل من خلال موظفي المشتري. ويجب أن يحصل البائع على التغطية التأمينية للنقل فقط إذا تم طلب هذا التأمين من المشتري ودفع المشتري قيمته.
5. Description of the vehicle and inspection obligation
5- وصف السيارة والتزام المعاينة
5.1 Any and all oral representations regarding the weight, dimension, power (hp, kW), year of manufacture, type, fuel consumption, and similar information, including information regarding the duration and extent of use, are non-binding. Any assurances or guarantees must be made in writing to be effective. The Buyer is obliged to inspect the vehicle without delay and notify the seller of any defect thus discovered.
5-1 لا تكون أي وكافة الإقرارات المتعلقة بوزن السيارة وأبعادها وقوتها (حصان، كيلو وات) وسنة التصنيع والنوع واستهلاك الوقود والمعلومات المماثلة بما في ذلك المعلومات الخاصة بمدة ونطاق الاستخدام ملزمة وأي ضمانات أو تأكيدات يجب أن تتم كتابة حتى تكون سارية ويلزم المشتري بمعاينة السيارة دون تأخير وبتبليغ البائع بأي عيوب تكتشف
6. Right of retention and set-off
6- حق الإبقاء والخصم
6-1 The Buyer shall be entitled to exercise a right of retention only if it is based on the same contractual relationship.
6-1 يحق للمشتري ممارسة حق الإبقاء فقط إذا كان يقوم على نفس العلاقة التعاقدية.
6-2 Any off-setting against counter-claims shall be permissible only with respect to counter-claims that have been recognised by the seller or determined in a non-appealable fashion by a court of law.
6-2 أي خصم مقابل دعاوى متقابلة يجب ألا يسمح به إلا بالنسبة للمطالبات المتقابلة التي اعترف بها البائع أو حددتها محكمة بطريقة غير قابلة للطعن
7. Final clauses
7- البنود الختامية
7-1 If any of the preceding provisions were to be ineffective or void, this shall not affect the continued validity of the remaining provisions.
7-1 إذا أصبح أي من الأحكام السابقة غير ساري أو لاغي أو باطل فإن هذا لا يؤثر على سريان بقية الأحكام بشكل مستمر
7-2 The Buyer shall be entitled to assign claims from the contractual relationship only after obtaining the written consent of the seller.
7-2 يحق للمشتري التنازل عن المطالبات من العلاقة التعاقدية فقط بعد الحصول على موافقة كتابية من البائع.
7-3 This Agreement is governed by and constructed in accordance with the laws of UAE, with the courts at Abu Dhabi having exclusive jurisdiction provided the Buyer is a businessman, a legal person under public law, the business residence of the seller shall be the exclusive legal venue. However, the seller shall be entitled to sue the Buyer at the court in charge of the district in which the Buyer has his business residence.
7-3 يخضع هذا العقد للقوانين الإماراتية ويفسر طبقاً لها لدى المحاكم في أبو ظبي والتي يكون لها الاختصاص الحصري بشرط أن يكون المشتري رجل أعمال أو شخص قانوني يخضع للقانون العام أو يكون مقر أعمال البائع هو المكان الحصري القانوني. ورغم ذلك يحق للبائع مقاضاة المشتري في المحكمة المسؤولة في المنطقة التي يقع فيها مقر أعمال المشتري.
